1) Definitions
For the purpose of this agreement, the following expression shall bear the following meanings:- Agreement" means the contract for the sale of Products by Dolphin to Customer; "Customer" means the person or Company whose order to purchase Products is accepted by Dolphin; "Dolphin" means Dolphin Production; "Products" means the products forming the subject matter of the Agreement and includes any parts, components and materials embodied or included in them, and any service and/or software licence as may be applicable; "Price" means the price for Products; "Territory" means the country which ships out the goods.
 
2) Registration
Users who wish to place orders have to be registered. If not, you are only allowed to browse. User name and password must be provided by the shopper. If the choice of your selected user name has been reserved by another shopper, Dolphin Production will assign the next available choice to you.
 
3) Placing Of Orders
Customers are to ensure that all orders are checked thoroughly before submission. No contract shall exist until the order is accepted by Dolphin.
 
4) Confirmation Of Order
Orders will be confirmed via e-mail or by fax. Dolphin Production has no obligation to deliver Products until payment is received in full. All prices are quoted F.O.B Territory and do not include any import or export fee, duty, tariff, tax or other charges. Any such charge will be shown in Dolphin Production’s invoices where applicable. Customer is deemed to have given Dolphin Production consent to pay any charges mentioned above on behalf of Customer, and Customer undertakes to repay Dolphin Production any such charge paid by Dolphin Production on behalf of the Customer. It shall not open for Customer to say that the Customer is exempted from such charge.
 
5) Cancellation Of Order
No cancellation is allowed once orders have been confirmed.
 
6) Payment
Dolphin Production do not accepts payment through Mastercard and Visa. We do not store shopper’s credit card details. Therefore, you are required to enter your credit card details each time you order. Personal cheques will have to be cleared before delivery and pre-payment of cash is acceptable.
 
7) Title & Risk
Title to Products remains with Dolphin Production until full payment is received from the Customers. Risk in Products shall pass from Dolphin Production to Customer upon delivery of Products to Customers.
 
8) Delivery
Any delivery date and time provided by Dolphin Production shall be indicative only and shall not be an obligation on Dolphin Production . Customer acknowledges that in purchasing Products it has not relied on any representation by Dolphin Production as to the delivery date and time of Products. If Customer fails to take delivery of Products or fails to enable Dolphin Production to make delivery (whether by refusal or failure to provide any instruction, document, licence, authorisation or otherwise), delivery shall be deemed to have taken place upon Dolphin Production giving notice to Customer of such deemed delivery whereupon risk in Products shall pass immediately to Customer. Customer shall reimburse Dolphin Production all costs and expenses (including but not limited to transport, storage and insurance charges) incurred by Dolphin Production as a result of Customer's failure or refusal to take physical delivery. Separate charges for shipping and handling will be shown on Dolphin Production’s invoice(s). Unless Customer provides Dolphin Production with a valid and correct tax exemption certificate applicable to the product ship-to location prior to Dolphin Production's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order.
 
9) Out Of Stock Situation
You will be informed should there be non-availability of your order. If any of the Products you order is out of stock, you may choose to have your order processed and have the other available items delivered first. Alternatively, you may wish to cancel your order. We will inform you of the availability of any back ordered (items temporarily out of stock) items. Back ordered items will be delivered on a separate date, as they become available.
 
10) Goods Services Tax (GST)
All transactions made in Singapore will be subjected to Goods and Service Tax of 4%.
 
11) Products
Dolphin Production reserves its rights to revise or discontinue any Products from time to time. Dolphin Production will ensure that revised products shall have the functionality and performance of the Products ordered even though they may differ in detail.
 
12) Warranties
Period of limited warranty is stated alongside with the Products. Dolphin Production will be obligated to honor such warranties only upon full payment made by customer. Dolphin Production disclaims all other warranties, express or implied, including without limitation implied warranties of merchantability and fitness for a particular purpose. Dolphin Production reserves the rights to modify its warranty at any time.
 
13) Service & Support
Dolphin Production aims to provide the best customer and technical telephone support. The support team will attempt to handle any problems with Dolphin Production products over telephone. However, in the event that the support team is unable to understand or resolve the problems over the phone, we shall offer our services, which may vary from time to time. Dolphin Production has no obligation to provide service or support until full payment of the product or service/support contract has been received.
 
14) Return Policy
Customers are advised to inspect all Products prior to acceptance. Once signed and received, the Product is not returnable. Liability of damages caused in the course of delivery will be assigned to the customer upon acceptance of Products. During the carry-in warranty period, where applicable, Dolphin Production will repair or replace Products shipped to Dolphin Production. . Such products shall be shipped with freight prepaid to Dolphin Production. Customers will be issued a Return Material Authorization Number (RMAN). Customer shall bear the risk of loss damage during such shipment. Dolphin Production is not obliged to accept any returned Products for warranty service without RMAN issued. Dolphin Production shall not be liable for any loss of data or software and that Dolphin Production is under no obligation to advise or remind customer on appropriate back-up procedures.
 
15) Limitation of Liability
In no event shall Dolphin Production be liable for any direct, consequential, indirect, incidental or special damages whatsoever, including without limitation, damages for loss of business profits, business interruption, loss of business information, and the like, arising out the use if or inability to use Products, even, if Dolphin Production has been advised of the possibility of such damages.
 
16) Force Majeure
No party shall be liable to the other for any delay in performing any of its obligations under Agreement if such delay is caused by circumstances beyond the reasonable control of the party so delaying. Such party shall be entitled to a reasonable extension of time for the performance of such affected obligations.
 
17) Export Restrictions
Products licensed or sold under the Agreement may be subjected to the export control laws of certain countries. Customer confirms that with respect to Products, it will not export or re-export them, directly or indirectly to any export country which us subjected to any export restriction imposed by any other country or any end user who has been prohibited from participating in export transactions by any agency of any government.
